## 1. About This Licence
These Software Licence Terms govern your purchase, download, installation, activation, access to, and use of BLU Solo software products.
By purchasing, downloading, installing, activating, or using BLU Solo, you agree to these Software Licence Terms, the Refund Policy, the Privacy Notice, and any checkout terms presented at the point of purchase.
If you do not agree, you must not install, activate, or use the software.

## 3. What BLU Solo Is
BLU Solo is local-first desktop software intended primarily for qualified private practitioners, including:
- therapists
- counsellors
- psychologists
- supervisors
- other independent practitioners
BLU Solo is designed to help one practitioner manage:
- records and notes
- session workflow and planning
- questionnaires and scored forms
- letters, invoices, and correspondence
- backups, recovery, and related practice administration
BLU Solo is a software tool. It is not a patient-facing service and does not provide medical advice, therapeutic advice, legal advice, regulatory approval, or emergency response.
## 4. Licence Grant
Subject to these terms and any valid purchase, trial, or subscription entitlement, we grant you a limited, non-exclusive, non-transferable, revocable licence to use BLU Solo.
Unless otherwise agreed in writing:
- the licence is for one practitioner;
- the licence may be used on up to 2 devices by that same practitioner;
- the licence is tied to one subscription or entitlement.
You do not acquire ownership of the software.
## 5. Trials, Activation, And Subscription
Use of BLU Solo may require:
- activation
- a trial entitlement
- an active subscription
- periodic licence validation
Subscription billing, renewals, checkout handling, cancellations, and related commercial matters are governed by the applicable checkout flow, billing provider terms, and refund or cancellation terms in force at the time of purchase.
## 6. Permitted Use
You may use BLU Solo only for lawful professional purposes.
You must ensure that your use of BLU Solo complies with:
- applicable data protection law;
- professional and ethical standards;
- safeguarding obligations;
- regulatory or insurer requirements relevant to your practice.
## 7. Restrictions
You must not:
- resell, sublicense, rent, or redistribute BLU Solo except where we expressly allow it;
- share licences beyond the permitted scope;
- reverse engineer, decompile, or disassemble BLU Solo except where legally permitted;
- bypass licence, activation, or usage limits;
- remove branding, copyright, or proprietary notices;
- use BLU Solo unlawfully or beyond your authority.
## 8. Local-First Data Boundary
BLU Solo is designed as a local-first system.
This means:
- we do not require access to your routine records for the software to function;
- we do not routinely process or store client data entered into BLU Solo;
- you remain the data controller for any personal data you process using BLU Solo in your own practice.
If you choose to use third-party storage or cloud providers, you are responsible for ensuring that arrangement is suitable for your legal and professional obligations.
## 9. Professional Responsibility
BLU Solo does not replace:
- professional judgement;
- supervision;
- safeguarding decision-making;
- legal or regulatory compliance;
- your independent professional responsibility for your records and practice.
You remain fully responsible for your professional practice and records.
## 10. Backups And Data Responsibility
You are responsible for:
- backups;
- recovery processes;
- storage decisions;
- the security of your device and chosen backup location.
We are not responsible for data loss caused by:
- device failure;
- third-party storage providers;
- user error or deletion;
- external sync systems outside our control.
## 11. Support And Updates
We may provide:
- updates, patches, and fixes;
- activation and recovery support;
- general software assistance.
We may modify, replace, suspend, or discontinue features where reasonably necessary for maintenance, security, operational, legal, or product reasons.
## 12. Service Availability
We do not guarantee that BLU Solo will always be available, uninterrupted, or error-free.
We may suspend, withdraw, or restrict access where reasonably necessary for maintenance, security, non-payment, fraud prevention, misuse risk, or operational reasons.
## 13. Suspension And Termination
We may suspend or terminate access immediately, without liability, where reasonably necessary, including for:
- breach of these Software Licence Terms;
- non-payment;
- security, fraud, or misuse risk;
- legal or operational necessity.
Where commercially and technically appropriate, restricted-mode access may still allow limited off-ramp functions such as viewing, export, or backup.
## 14. Intellectual Property
All intellectual property rights in BLU Solo remain our property or that of our licensors.
This includes:
- the software
- branding
- design
- documentation
These terms grant you a right to use BLU Solo, not ownership of it.
## 15. No Advice And No Compliance Guarantee
BLU Solo does not provide:
- medical or therapeutic advice;
- legal advice;
- regulatory or compliance assurance.
BLU Solo is not designed to ensure compliance with any specific framework, including data protection guidance, professional-body requirements, or insurer requirements.
You are solely responsible for compliance.
## 16. Warranty Disclaimer
BLU Solo is provided `as is` and `as available`, to the maximum extent permitted by law.
We do not guarantee that it will be:
- uninterrupted;
- error-free;
- compatible with all systems;
- suitable for all workflows or environments.
Nothing in these terms affects rights that cannot legally be excluded.
## 17. Liability
If you are using BLU Solo as a consumer, you have rights that cannot be excluded or limited under law.
If you are using BLU Solo in the course of business, the limitations below apply to the maximum extent permitted by law.
Nothing in these terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any liability that cannot legally be excluded.
Subject to that:
- we are not liable for indirect or consequential loss;
- we are not liable for loss caused by third-party providers outside our control.
If you use BLU Solo in the course of business, our total liability is limited to the greater of:
- the amount paid by you for BLU Solo in the 12 months before the claim; or
- `GBP 250`

We may update these Software Licence Terms from time to time.
The latest version published on the website will apply from the date shown above.
## 19. Governing Law
These terms are governed by the law of England and Wales.
